Terms of Service

Deft Local provides digital marketing, website design and development, search engine optimisation, social media management, paid advertising management, AI agent development, B2B prospecting, and related digital services to small and mid-size businesses (collectively, "Services").

The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Service Agreement or Statement of Work ("SOW") executed between the Company and the client.

You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the business you represent. By using our services you represent that you meet these requirements.

You agree to:

• Provide accurate, complete, and up-to-date information when requested.
• Grant timely access to accounts, platforms, and materials needed to perform the Services.
• Review and provide feedback on deliverables within the timelines specified in your SOW.
• Ensure that any content, trademarks, or materials you provide do not infringe on the rights of any third party.
• Comply with all applicable laws and platform policies (Google, Meta, etc.).

Fees are set out in your SOW or proposal. Unless otherwise agreed:

• Invoices are due within 15 days of issue.
• Late payments accrue interest at 1.5% per month.
• We reserve the right to pause or suspend Services for accounts overdue by more than 30 days.
• All fees are non-refundable except as explicitly stated in your SOW.

Upon receipt of full payment, you own all original creative work produced specifically for your project (website design, copy, graphics) as outlined in your SOW. We retain ownership of our proprietary tools, templates, processes, and methodologies.

You grant us a limited, non-exclusive licence to display your project in our portfolio and marketing materials unless you request otherwise in writing.

Both parties agree to keep confidential any non-public business information shared during the engagement and not to disclose it to third parties without prior written consent, except as required by law.

Our services may involve third-party platforms (Google Ads, Meta, GoHighLevel, etc.). You are responsible for complying with those platforms' terms of service. We are not liable for changes, outages, or policy updates made by third-party providers.

Services are provided "as is." We do not guarantee specific rankings, ad performance, or revenue outcomes. Digital marketing results depend on many factors outside our control, including market conditions, algorithm changes, and competition.

To the fullest extent permitted by law, Deft Local's total liability to you for any claim arising out of these Terms or your use of the Services shall not exceed the fees you paid us in the 90 days preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

Either party may terminate an engagement with 30 days' written notice. You remain responsible for fees incurred up to the termination date. We may terminate immediately for material breach, non-payment, or conduct that violates applicable law or platform policies.

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Collin County, Texas, and both parties consent to exclusive jurisdiction there.

We may update these Terms from time to time. Material changes will be notified via email or a notice on our website. Continued use of our Services after changes take effect constitutes acceptance of the updated Terms.
